1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Avantao Technologies operating as AIHR ("we," "us," or "our"), concerning your access to and use of the AIHR website, software platform, and related services (collectively, the "Services").

By accessing or using the Services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Services.

2. Use of Services

2.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

2.2 Account Registration

To use certain features of the Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3. Intellectual Property Rights

Unless otherwise indicated, the Services and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by AIHR, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as permitted by these Terms or with our prior written consent.

4. User Data and Content

4.1 Your Data

You retain all rights to the data, information, and content you upload, submit, or otherwise make available through the Services ("User Data"). By providing User Data, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and store your User Data solely for the purpose of providing the Services to you.

4.2 Data Security

We implement reasonable security measures to protect your User Data. However, you acknowledge that no method of transmission over the internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

5. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Use the Services for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to any portion of the Services
• Interfere with or disrupt the Services or servers or networks connected to the Services
• Use any automated system (bots, scrapers) to access the Services without permission
• Transmit viruses, malware, or any other malicious code
• Impersonate any person or entity or falsely state or misrepresent your affiliation
• Harass, abuse, or harm another person or entity
• Reverse engineer, decompile, or disassemble any part of the Services

6. Payment Terms

6.1 Subscription Fees

Access to certain features of the Services requires payment of subscription fees. All fees are exclusive of applicable taxes unless otherwise stated. You agree to pay all fees associated with your chosen subscription plan.

6.2 Billing and Renewal

Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

6.3 Refunds

Refunds are governed by our Refund Policy. Please review it carefully before subscribing.

7. Termination

7.1 Termination by You

You may terminate your account at any time by contacting us or using the account settings. Upon termination, your right to use the Services will immediately cease.

7.2 Termination by Us

We may suspend or terminate your access to the Services at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, we may delete your User Data in accordance with our data retention policies.

8. Limitation of Liability

To the maximum extent permitted by law, AIHR and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Services.

Our total liability to you for all claims arising out of or related to these Terms or the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless AIHR and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your User Data, or your violation of these Terms.

10. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.

11. Governing Law and Dispute Resolution

For UK Customers

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

UK consumers have certain statutory rights under the Consumer Rights Act 2015, including the right to receive services that are as described, fit for purpose, and of satisfactory quality. Nothing in these Terms affects those statutory rights.

For Indian Customers

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

Indian consumers are protected under the Consumer Protection Act, 2019, which provides remedies for defective goods and deficient services. You may file complaints with the appropriate consumer forum if you believe your rights have been violated.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and AIHR regarding the use of the Services and supersede all prior agreements and understandings.
